We prepared a new set of articles of association for a corporate charity, which is also a local school. The articles needed updating in order to bring them into line with the Companies Act 2006. We removed references to the Companies Act 1948 and, at the client’s request, added provisions providing for retirement by rotation relating to the term of office of the directors. We prepared the ancillary minutes and resolutions and liaised with Companies House and the Charity Commission in order to register the changes.
