Our client is a leading independent grounds maintenance provider. We advised on the employment aspects of a bolt-on acquisition of the entire issued share capital of a private limited company which operates a specialist grounds maintenance business. The acquisition created the opportunity for the client to create synergies between the two businesses.

We conducted a full due diligence review of the target company, including putting together a comprehensive report. We also negotiated the share purchase agreement and relevant ancillary documents.

Before the transaction completed, the target company transferred two of its non-core business operations to a member of the seller group. This required additional employment due diligence, with a particular focus on the potential TUPE (Transfer of Undertakings) implications.

Our corporate and property teams advised on certain elements of the transaction, including aspects of the share purchase agreement, which contained complex locked box provisions.
