We helped a charitable company limited by guarantee with a material share interest in a property management company.

The management company’s articles of association were significantly out of date and did not contain the bespoke constitutional features normally found in management company articles of association. Liaising with the solicitors acting for the management company’s other shareholder, we reviewed and updated the old articles and negotiated a variety of ancillary documents.

We also advised on:
• the adoption of the revised articles of association by the management company
• the charity’s relationship with the management company’s other shareholder
• the Companies House filing process and the updating of the management company’s statutory books and records.
