We advised an unincorporated charity on the transfer of its operations and assets to a sister charity, an incorporated charity with some common trustees. After Now that the asset transfer has completed, the unincorporated charity is in the process of dissolution was dissolved.
Our role was to:
• review, amend and advise the trustees on the proposed transfer agreement
• ensure the required transfer indemnity is included, together with the required charitable vesting declaration (a legal document which transfers the assets from the unincorporated charity to the sister charity)
• assist with the assignment and replacement of contracts
• provide general advice on the charitable process to obtain the consent of the Charity Commission.
