We advised our client on the corporate and property aspects of the acquisition of the entire issued share capital of a private company, the owner of a valuable 100 hour NHS pharmacy contract.
The deal required the complex incorporation of separate exchange and completion to facilitate the construction of the pharmacy property by the sellers whilst simultaneously permitting the operation (in temporary facilities) of the business by the buyers under a management agreement.
Completion requirements were also particularly challenging requiring bespoke provision for the retention of the purchase price pending planning, construction and completion of additional works to car park facilities.
